We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are intended for users who are at least 13 years of age. Any unauthorized use of the materials appearing on this site may violate copyright, trademark, and other applicable laws and could result in criminal or civil penalties. Logick will aggressively enforce its intellectual property rights to the fullest extent of the law, including seeking criminal prosecution where appropriate.

Termination and Term

These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services.   • • Make improper use of our support services or submit false reports of abuse or misconduct.

  • • Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
  • • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
  • • Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.
  • • Copy or adapt the Services' software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
  • • Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
  • • Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Services, or use or launch any unauthorized script or other software.
  • • Use a buying agent or purchasing agent to make purchases on the Services.
  • • Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
  • • Use the Services as part of any effort to compete with us or otherwise use the Services and/or the Content for any revenue-generating endeavor or commercial enterprise.
  • • Sell or otherwise transfer your profile.

ClientNotes rules and regulations:

  • • User Conduct: Users must adhere to acceptable standards of conduct when using ClientNotes. This includes refraining from abusive language, harassment, or any other behavior that may disrupt the platform's functionality or offend other users.
  • • Confidentiality: Users are responsible for maintaining the confidentiality of any sensitive information stored or discussed on ClientNotes. They should not share login credentials or access to their accounts with unauthorized individuals.
  • • Data Security: ClientNotes employs industry-standard security measures to protect user data. Users are encouraged to use strong passwords and enable additional security features to safeguard their accounts.
  • • Prohibited Content: Users must not upload, share, or store any content that violates intellectual property rights, infringes upon privacy, promotes illegal activities, or is otherwise unlawful or inappropriate.
  • • Accuracy of Information: Users are responsible for ensuring the accuracy and relevance of the information they input into ClientNotes. They should verify the data before storing it and promptly update any outdated or incorrect information.
  • • Compliance with Laws: Users must comply with all applicable laws and regulations when using ClientNotes. This includes but is not limited to data protection laws, privacy regulations, and industry-specific compliance requirements.
  • • Feedback and Suggestions: ClientNotes welcomes feedback and suggestions for improving the platform. Users can submit their ideas through designated channels, and ClientNotes may use this feedback to enhance its services without providing compensation or acknowledgment.

ClientNotes and Logick

Logick, its directors, officers,and employees have the right to periodically review the ClientNotes platform and take necessary actions to ensure its security, integrity, and compliance with these Terms of Service.

Logick, its directors, officers,and employees have the right to terminate any ClientNotes Organization found to break any rules we have set in place outlined in these Terms of Service and shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from termination.

Logick reserves the right to terminate any ClientNotes Organization at any time without prior notice.


Suggest rules and regulations:

  • • API Usage: Users must use the Suggest API responsibly. We reserve the right to monitor API usage for compliance and to prevent flooding the platform with excessive requests.
  • • Rate Limits: Each API token is limited to 500 requests per 15 minutes. If this limit is exceeded, the user will be rate-limited for 5 minutes. Please adhere to these limits to ensure fair usage for all users.
  • • Abuse of API: Any abuse of the Suggest API, such as excessive or inappropriate use of the service, will result in the offending organization being deleted and the organization's owner being banned from using Logick services.
  • • Appropriate Content: Users are prohibited from submitting suggestions that contain offensive, inappropriate, or illegal content. This includes but is not limited to hate speech, discriminatory language, and content that violates intellectual property or privacy rights.
  • • Respect for Others: Users should respect the privacy and opinions of others when submitting and interacting with suggestions. Harassment, spamming, or any other disruptive behavior is prohibited.
  • • Compliance with Laws: Users must comply with all applicable laws and regulations while using Suggest, including data protection and privacy regulations.

Suggest and Logick

Logick, its directors, officers,and employees have the right to periodically review the Suggest platform and take necessary actions to ensure its security, integrity, and compliance with these Terms of Service.

Logick, its directors, officers,and employees have the right to terminate any Suggest Organization found to break any rules we have set in place outlined in these Terms of Service and shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from termination.

Logick reserves the right to terminate any Suggest Organization at any time without prior notice.

We are not legally responsible for any legal trouble, including but not limited to lawsuits, claims, or other legal actions, that may arise from your use of our Services. By using our Services, you agree to indemnify and hold us harmless from any and all legal actions, damages, costs, expenses, liabilities, and losses, including attorney fees, arising from or related to your use of the Services or your violation of these Legal Terms.


Limitation of Liability

In no event shall Logick, its directors, officers, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY
(1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS,
(2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES,

(6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF LOGICK AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES EXCEED THE AMOUNTS YOU HAVE PAID TO LOGICK FOR THE SERVICES IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. Force Majeure
